These Terms and Conditions ("Terms") govern your use of the website located at www.unitedwebapex.com and your engagement of services provided by United WebApex LLC ("Company," "we," "us," or "our"), a limited liability company organized under the laws of the Commonwealth of Kentucky. By accessing our website or engaging our services, you agree to be bound by these Terms. Please read them carefully.
By accessing our website, submitting an inquiry, or entering into a service agreement with United WebApex LLC, you confirm that you are at least 18 years of age, have the legal authority to enter into binding agreements, and agree to comply with these Terms. If you do not agree, you must discontinue use of our website and services.
United WebApex LLC provides web development, search engine optimization (SEO), digital marketing, mobile application development, social media management, and startup solutions (collectively, "Services"). The specific scope, deliverables, timeline, and pricing for each engagement will be set forth in a separate Service Agreement or Statement of Work (SOW) provided to the client prior to commencing work.
We reserve the right to modify, suspend, or discontinue any service offering at any time with reasonable notice to active clients. Changes will not affect active service agreements already in force unless mutually agreed upon in writing.
Monthly subscription plans are billed in advance on a recurring basis. Payments are due on the billing date each month. Failure to pay within 10 days of the billing date may result in suspension of services.
Custom project engagements typically require a deposit (50% of total project cost) prior to commencement, with the remaining balance due upon project completion before delivery of final files or launch. Payment schedules for larger projects may be negotiated and specified in the SOW.
Invoices not paid within 30 days of the due date may be subject to a late fee of 1.5% per month on the outstanding balance. United WebApex LLC reserves the right to suspend services for accounts with outstanding balances exceeding 30 days.
Deposits paid to initiate a project are non-refundable once work has commenced. Monthly subscription fees are non-refundable for the current billing period. If we fail to deliver agreed-upon deliverables within the timeframes specified in the SOW, we will work with you to resolve the issue or provide a pro-rated credit at our discretion.

Project timelines may be extended without additional charge if delays are caused by client inaction or failure to provide required materials.
Upon receipt of full payment for a project, United WebApex LLC assigns to the client all rights, title, and interest in the custom website design, code, and creative assets developed specifically for that client, except as noted below.
Some projects may incorporate third-party elements including stock images, fonts, plugins, or open-source software. These assets are subject to their respective licenses and are not owned by United WebApex LLC. The client assumes responsibility for compliance with applicable third-party licenses.
Unless expressly prohibited in writing, United WebApex LLC retains the right to display completed work in our portfolio, case studies, and marketing materials.
Any proprietary methodologies, frameworks, templates, or tools used by United WebApex LLC in the delivery of services remain the sole property of United WebApex LLC.
Both parties agree to keep confidential any non-public information shared in the course of the service engagement, including business strategies, pricing, financial information, and technical details. This obligation survives termination of the service agreement for a period of three (3) years.
United WebApex LLC warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. We provide a 30-day bug-fix warranty following the launch of any website or application, covering defects in our code or design work.
EXCEPT AS EXPRESSLY STATED HEREIN, UNITED WEBAPEX LLC PROVIDES ALL SERVICES "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE SPECIFIC RANKINGS, TRAFFIC LEVELS, CONVERSION RATES, OR REVENUE OUTCOMES FROM SEO OR DIGITAL MARKETING SERVICES.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, UNITED WEBAPEX LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO OUR SERVICES OR THESE TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO OUR SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
Monthly subscription clients may cancel with 30 days' written notice. Cancellation becomes effective at the end of the current billing period. Project-based engagements may be terminated by the client with 14 days' written notice; all work completed to that point is billable at the agreed project rate.
We reserve the right to terminate services with 14 days' written notice if a client breaches these Terms, fails to make timely payment, or engages in conduct that is illegal, abusive, or harmful to our team or reputation. In cases of serious breach, we may terminate immediately without notice.
Upon termination, all outstanding fees become immediately due and payable. We will provide the client with all completed deliverables and files within 14 days of the final payment being received.

These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails within 30 days, disputes shall be resolved by binding arbitration in Madison County, Kentucky, in accordance with the American Arbitration Association's Commercial Arbitration Rules. Judgment on the arbitration award may be entered in any court with competent jurisdiction.
United WebApex LLC shall not be liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including natural disasters, power outages, internet failures, government actions, or other force majeure events.
These Terms, together with any Service Agreement or Statement of Work executed between the parties, constitute the entire agreement between you and United WebApex LLC regarding the subject matter herein and supersede all prior discussions, representations, and agreements.
We may update these Terms at any time. We will notify active clients of material changes with at least 30 days' advance notice. Continued use of our services after the effective date of any changes constitutes acceptance of the revised Terms.
